1. Acceptance of Terms

By accessing or using the services provided by I-Pro Solutions Private Limited ("I-Pro Solutions", "we", "us", or "our"), including our website at iprosolutions.co.in, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our services.

2. Scope of Services

I-Pro Solutions provides professional advisory and facilitation services in the following areas:

• Intellectual Property: Trademark registration, patent filing, copyright registration, design registration, and IP portfolio management
• Business Registration: Private limited company incorporation, LLP registration, partnership firm registration, and sole proprietorship setup
• Startup Services: Startup India recognition, MSME/Udyam registration, and business plan advisory
• Compliance: GST registration and filing, FSSAI licensing, ISO certification assistance, and annual compliance management
• Digital Signatures: Class 3 DSC issuance, DGFT DSC, and document signer certificates
• Growth Advisory (AccellX): Business strategy, funding advisory, and scaling support

I-Pro Solutions acts as an intermediary and facilitator between clients and government authorities. We are not a law firm and do not provide legal advice. Our services involve preparing and filing applications on behalf of clients based on information provided by them.

3. Service Engagement Terms

Upon engaging our services, the following terms apply:

• Service engagement commences upon receipt of complete documentation and payment
• Timelines are estimates and may vary based on government processing times, completeness of documentation, and regulatory changes
• We will keep you informed of application progress and any delays caused by government processing
• Service scope is limited to the specific service(s) engaged and does not include ancillary services unless explicitly agreed
• Any additional services required beyond the original scope will be quoted separately

4. Payment Terms

• Service fees comprise professional fees and government/statutory fees as applicable
• Full payment must be received before commencement of service processing
• Government fees are paid directly to the concerned authorities on your behalf and are non-refundable once submitted
• Professional fees may be refunded as per our Refund Policy
• All prices are in Indian Rupees (INR) and inclusive of applicable GST
• We accept payments via UPI, net banking, credit/debit cards, and bank transfer

5. Refund Policy

Our detailed Refund Policy is available at iprosolutions.co.in/refund-policy. Key points:

• Professional fees are refundable if the service has not commenced processing
• Government fees are non-refundable once submitted to authorities
• Partial refunds may be applicable for services that are partially completed
• Refund requests must be submitted in writing to help@iprosolutions.co.in
• Approved refunds will be processed within 7-10 business days

6. Limitation of Liability

I-Pro Solutions provides facilitation and advisory services. To the maximum extent permitted by law:

• We are not liable for decisions made by government authorities regarding any application or registration
• We are not liable for delays caused by government processing backlogs, policy changes, or force majeure events
• We are not liable for losses arising from incomplete or inaccurate information provided by the client
• Our total liability for any claim shall not exceed the professional fees paid by the client for the specific service in question
• We are not liable for any indirect, incidental, special, or consequential damages

7. Intellectual Property Rights

All content on the I-Pro Solutions website, including text, graphics, logos, and software, is the property of I-Pro Solutions Private Limited and is protected by Indian copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without our written consent.

Client documents and information submitted for service processing remain the property of the client. We handle such data in accordance with our Privacy Policy.

8. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

9. Dispute Resolution

Before initiating legal proceedings, the parties agree to attempt resolution through:

1. Informal Resolution: Contact us at help@iprosolutions.co.in with your concern
2. Formal Complaint: Submit a written complaint to our Grievance Officer
3. Mediation: If unresolved within 30 days, the dispute may be referred to mediation under the Mediation and Conciliation Act, 2023
4. Arbitration: If mediation fails, disputes shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed mutually

10. Force Majeure

Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to: natural disasters, pandemics, government policy changes, war, terrorism, strikes, internet outages, or regulatory shutdowns. We will make reasonable efforts to resume services as soon as practicable.

11. Client Responsibilities

Clients are responsible for:

• Providing accurate, complete, and truthful information and documentation
• Responding to queries and requests for additional information in a timely manner
• Ensuring all documents submitted are valid and not expired
• Making payments as per agreed timelines
• Reviewing applications before submission and confirming accuracy
• Notifying us promptly of any changes in contact information or business details

12. Confidentiality

Both parties agree to maintain the confidentiality of all information exchanged during the course of service engagement. I-Pro Solutions will not disclose client information to any third party except as required for service processing (government filings) or as mandated by law. Our data handling practices are detailed in our Privacy Policy.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes are posted constitutes acceptance of the modified terms.
